Completion of fundraising for a clinical trial of ASCL-PLC, a multifunctional platelet derived from adipose tissue, and for the full-scale expansion of our PRP business

AdipoSeeds, Inc. (Headquarters: Shinjuku-ku, Tokyo; CEO and CFO: Junji Fuwa; hereinafter referred to as AdipoSeeds), a venture company spun off from the Keio University School of Medicine, has completed a third-party allocation of shares to TOHO HOLDINGS CO.,LTD. (Headquarters: Chuo-ku, Tokyo; Representative Director, President and CEO: Hiromi Edahiro; hereinafter referred to as TOHO HOLDINGS) and Kohjin Bio Co., Ltd. (Headquarters: Sakado City, Saitama Prefecture; President and CEO: Yuichi Nakamura ; hereinafter referred to as Kohjin Bio).

[About AdipoSeeds]

AdipoSeeds was established in July 2016, based on the research results of Professor Yumiko Matsubara, current Visiting Professor at the Keio University School of Medicine’s Sports Medical Research Center, et al. Based on Professor Matsubara’s technologies related to platelet production from non-hematopoietic stem cells, platelet preparation, evaluation, and preservation, AdipoSeeds aims to become a “global pioneer in platelet-based regenerative medicine” by solving the challenges facing platelet-related medical care worldwide with its unique technologies. It operates two businesses: (1) a business that develops human adipose tissue-derived platelet-like cells (ASCL- PLC) and other products as regenerative medicine products (regenerative medicine product development business) [*1] and (2) a business for PRP (Platelet-Rich Plasma) therapy, one of the treatment methods for tissue repair using platelets [*2] .

[Regarding collaborative development with two companies]

Collaboration with TOHO HOLDINGS (Establishment of a distribution system for regenerative medicine products)

We will explore collaboration with TOHO HOLDINGS to realize the aim of building an optimal supply chain that will safely and reliably deliver regenerative medicine products and other related items to medical institutions, by utilizing TOHO HOLDINGS’ nationwide distribution network as a major pharmaceutical wholesaler and its advanced temperature control and quality control technologies.

Collaboration with Kohjin Bio (Business Partnership in the PRP Business)

We have entered into a business alliance agreement with Kohjin Bio effective July 21, 2026, to jointly promote a business that provides medical institutions with contract services for the preparation of platelet-rich plasma (PRP) for PRP therapy. Through this capital alliance, we will further strengthen the collaboration between the two companies and promote the development of the PRP business by integrating AdipoSeeds’ unique PRP preparation, evaluation, and preservation technologies with Kohjin Bio’s research and development capabilities in cell culture media and raw materials and manufacturing support for regenerative medicine, thereby integrating a business foundation that supports the research, development, and manufacturing phases in the field of regenerative medicine .

AdipoSeeds aims to apply ASCL-PLC (ASCL-derived Platelet-Like Cells) as a regenerative medicine product, based on a technology that involves establishing ASCL (Adipose-derived Mesenchymal Stem Cell Line) from cell populations including ASCs (Adipose-derived Mesenchymal Stem Cells) obtained by standard centrifugation from human subcutaneous adipose tissue, and then differentiating ASCL into ASCL-PLC. Currently, we are developing the following two pipelines.

For the treatment of intractable skin ulcers (development code: ADS-01), our proposal, “Development of human adipose-derived platelet-like cells (ASCL-PLC) as an allogeneic regenerative medicine product for the treatment of intractable skin ulcers,” was selected for the Japan Agency for Medical Research and Development (AMED)’s FY2024 “Drug Discovery Venture Ecosystem Strengthening Project.” With the funds raised, we aim to start domestic clinical trials as soon as possible.

For platelets for blood transfusion (development code: ADS-02), we are preparing to launch an investigator-led exploratory clinical study at the Institute of Science Tokyo targeting thrombocytopenia using human allogeneic adipose tissue-derived platelet-like cells, with the aim of verifying safety in humans. The plan for providing this regenerative medicine has already been reviewed by the Institute of Science Tokyo’s Certified Regenerative Medicine Committee. With the funds raised, we aim to start an investigator-led exploratory clinical study as soon as possible.

[*2 ]

PRP therapy is widely used to treat cartilage and tendon damage in joints such as the knees and elbows, as well as periodontal tissue regeneration and skin regeneration. Because it is a treatment in which platelets are concentrated from the patient’s own blood and administered to the affected area, it is highly safe, does not require surgery, and causes little damage to the body. Furthermore, as the abundant membrane receptors, growth factors, and cytokines contained in platelets stimulate tissues and cells, promoting collagen production, new capillary formation, and tissue repair, thereby inducting the body’s inherent “healing power “, PRP therapy is attracting attention as a highly effective treatment.

On the other hand, challenges included individual variability in platelet quality and quantity, variations in platelet quality even within the same person depending on age and physical condition, and the lack of standardized preparation procedures across medical institutions.

Based on these challenges, AdipoSeeds and Kohjin Bio have partnered to develop a contract service for medical institutions to provide PRP therapy with highly unique characteristics.
